The transaction will give Howdens direct access to the UK’s non-trade consumer market through a highly profitable, vertically integrated online kitchen business, while complementing its longstanding trade-only model. The consideration will comprise of £292.5m of cash, which will be funded by Howdens' existing cash resources and a new £240m bank facility, and £97.5m in Howdens’ shares. The Eversheds Sutherland team was led by Corporate Partner and Head of Public Company Advisory Stephen Nash, supported by Partner Steven Hacking, Principal Associates Annika Unsworth and Paul Jackson, and Senior Associate Asim Hussein.
